Corporate and Accounting Laws (Amendment) Act 2025 amends the VCC Act

What changed?

Parliament passed the Corporate and Accounting Laws (Amendment) Act 2025 on 5 November 2025, the product of the Ministry of Finance and ACRA's review of ACRA-administered legislation. The Act amends the Variable Capital Companies Act 2018 alongside the Companies Act 1967, the ACRA Act 2004, and other statutes. The first tranche of provisions commences on 6 May 2026, with further tranches to follow.

Why it matters for fund managers

VCC boards and their corporate service providers should track which VCC Act changes commence in each tranche — commencement dates, not passage dates, determine when obligations actually change. ACRA's legislative reform page is the authoritative tracker for the tranche schedule.
