ACRA, MOF and MAS consult on permanent virtual meetings for VCCs

What changed?

ACRA, the Ministry of Finance, and MAS jointly consulted from 9 to 20 February 2023 on legislative amendments to the Companies Act 1967, the Variable Capital Companies Act 2018, and the Business Trusts Act 2004 to permanently allow general meetings to be held by electronic means.

Why it matters for fund managers

The COVID-era relief that made virtual and hybrid meetings possible was temporary. This consultation proposed making that flexibility a permanent statutory feature — a governance convenience with real value for VCC boards and shareholder bases spread across time zones. The amendments passed in May 2023.
